1. Acceptance of Terms
By accessing and using TikTokshop, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. By using TikTokshop, you acknowledge that you have read these Terms of Service, understand them, and agree to be legally bound by them.
2. Use License
Permission is granted to temporarily download one copy of the materials (information or software) on TikTokshop for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not: (a) modify or copy the materials; (b) use the materials for any commercial purpose or for any public display; (c) attempt to decompile or reverse engineer any software contained on TikTokshop; (d) remove any copyright or other proprietary notations from the materials; (e) transfer the materials to another person or "mirror" the materials on any other server.
3. Creator Account Requirements
To use TikTokshop as a creator, you must be at least 18 years old and have the legal capacity to enter into binding contracts. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Commission Structure and Payments
TikTokshop determines commission rates for products based on market conditions and platform policies. Commission rates are subject to change at our sole discretion with 30 days' notice. Commissions are calculated based on completed orders where the customer has received and accepted the product. We reserve the right to withhold, adjust, or reverse commissions if we determine that fraudulent activity, policy violations, or chargebacks have occurred. Payments are processed monthly via the payment method you have provided. We are not responsible for delays caused by your bank or payment processor.
5. Product Liability and Warranties
TikTokshop provides products as-is without warranties of any kind, express or implied. We do not warrant that products will meet your requirements or that the quality will be satisfactory. You acknowledge that you are recommending products to your audience and that you are responsible for the accuracy of your representations. We reserve the right to remove products from our library at any time and for any reason.
6. Prohibited Activities
You agree not to engage in any of the following prohibited behaviors: (a) using the platform for illegal purposes or in violation of any laws; (b) creating fake orders or artificially inflating sales; (c) engaging in fraudulent activities or misrepresenting products; (d) harassing, abusing, or threatening other users or our staff; (e) attempting to access the platform through unauthorized means; (f) violating intellectual property rights; (g) posting spam, malware, or harmful content; (h) engaging in any form of market manipulation; (i) disclosing confidential information about the platform or other creators.
7. Intellectual Property Rights
All content on TikTokshop, including text, graphics, logos, images, and software, is the property of TikTokshop or its content suppliers and is protected by international copyright laws. You retain ownership of content you create, but by posting content on TikTokshop, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content for the purpose of operating and promoting the platform.
8. Limitation of Liability
In no event shall TikTokshop, Fluxion Innovation, or their officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages. Your sole remedy for dissatisfaction with TikTokshop is to stop using the service.
9. Indemnification
You agree to indemnify and hold harmless TikTokshop, Fluxion Innovation, and their officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising from or related to your use of the platform, your violation of these Terms of Service, or your infringement of any third-party rights.
10. Suspension and Termination
We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to: violation of these Terms of Service, fraudulent activity, policy violations, or breach of applicable laws. Upon termination, your right to use TikTokshop immediately ceases. We may retain your data for legal and business purposes.
11. Dispute Resolution
Any disputes arising from or relating to these Terms of Service or your use of TikTokshop shall be governed by the laws of Kenya. You agree to submit to the exclusive jurisdiction of the courts located in Nairobi, Kenya. Before initiating legal proceedings, you agree to attempt to resolve disputes through good faith negotiation with our support team.
12. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Your continued use of TikTokshop after such modifications constitutes your acceptance of the updated Terms of Service. We encourage you to review these terms periodically.
13. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and TikTokshop regarding your use of the platform and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.
